Terms of Service

1. Introduction and acceptance
These Terms of Service ("Terms") govern access to and use of TimeMarkd, a timesheet and photo-evidence service for trade contractor businesses, provided by TimeMarkd ("TimeMarkd", "we", "us"). By creating an organisation, accepting an invitation to join one, or otherwise using the service, you agree to these Terms on behalf of yourself and, if you are signing up an organisation, on behalf of that organisation ("Customer").
2. Definitions
- "Organisation" means the workspace a Customer creates in TimeMarkd, identified by its own subdomain and settings.
- "Member" means anyone the Customer invites into an Organisation, including owners, admins, and contractors who log time.
- "Customer Data" means the timesheets, job records, photo evidence, and other content Members submit or upload through the service.
- "Services" means the TimeMarkd web application, APIs, and related support.
3. Accounts and organisations
Sign-in is handled by our identity provider, WorkOS. Whoever creates an Organisation becomes its first owner. Owners and admins can invite, remove, and set the role of Members, and are responsible for keeping that membership list accurate and for the conduct of the Members they invite. You must provide accurate information when creating an account and keep your login credentials confidential. TimeMarkd is not liable for losses caused by an unauthorised person using credentials that were not adequately protected.
4. Subscriptions, billing, and cancellation
Plans and pricing. TimeMarkd is offered on the paid plans described on our pricing page (currently Starter at £51/month and Pro at £110/month), or a custom Enterprise plan agreed separately. Prices are shown in GBP, exclude VAT and any other applicable tax unless stated otherwise, and can be billed monthly or annually in advance, depending on what you choose at sign-up.
Free trial. New Organisations on a self-serve plan start with a 30-day free trial. No payment is taken during the trial; your payment method is charged for the first billing period once the trial ends, unless you cancel before then. We may withdraw or shorten the trial for a given sign-up at our discretion, for example where we suspect abuse.
Billing and payment. Payments are processed by Stripe, our payment processor. By subscribing you authorise us, through Stripe, to charge your payment method automatically at the start of each billing period until the subscription is cancelled. We do not store your card details ourselves.
Automatic renewal. Subscriptions renew automatically for successive periods of the same length (monthly or annual, matching what you chose) unless cancelled before the renewal date. There is no fixed contract term beyond the current billing period.
Cancelling. A workspace owner or admin can cancel at any time from Manage billing, which opens our Stripe-hosted billing portal. Cancelling stops future renewals; you keep access to the Services for the rest of the billing period you've already paid for, and the subscription then ends without a further charge. We do not provide prorated refunds for the unused portion of a billing period, except where required by law.
Failed or overdue payment. If a renewal payment fails, the Organisation enters a grace period during which we'll try again and notify a workspace owner or admin to update payment details. If payment is still not resolved by the end of the grace period, the Organisation is locked: Members can no longer sign in or use the Services until billing is put right or the Organisation is cancelled.
Changing plans. You can upgrade or downgrade between self-serve plans from the billing portal; changes take effect on your next billing period unless the portal states otherwise. Downgrades that would put an Organisation over the seat limit of the new plan may be blocked until membership is reduced.
Price changes. We may change our prices from time to time. We'll give existing subscribers at least 30 days' notice by email before a price change takes effect on their account; continuing to use the Services after that date means you accept the new price.
5. Acceptable use
You agree not to: use the Services for any unlawful purpose; upload content you don't have the right to share; attempt to gain unauthorised access to another Organisation's data or to the Services' infrastructure; interfere with or disrupt the Services or servers; reverse-engineer the Services except as permitted by law; or use the Services to store or transmit malicious code. We may suspend or terminate access for a Member or Organisation that breaches this section.
6. Customer Data
As between the parties, the Customer owns its Customer Data. You grant TimeMarkd a licence to host, process, and display Customer Data solely to provide, maintain, and support the Services. You are responsible for having the necessary rights and consents to upload Customer Data, including any photo evidence that may show individuals or third-party property. Handling of personal data within Customer Data is further described in our Privacy Notice. On request, and subject to any amounts owed, we'll make Customer Data available for export for a reasonable period after cancellation before it is deleted.
7. Intellectual property
TimeMarkd and its licensors own all rights in the Services, including the software, design, and TimeMarkd name and branding. Nothing in these Terms transfers any of that intellectual property to you beyond the limited right to use the Services as intended.
8. Availability and support
We aim to keep the Services available and reliable, but we don't guarantee uninterrupted or error-free operation, and we may need to suspend access for maintenance or in an emergency. Support is provided by email as described on our contact page, with response times that may vary by plan.
9. Warranties and disclaimers
Except as expressly stated in these Terms, the Services are provided "as is" without warranties of any kind, whether express or implied, including any implied warranty of satisfactory quality, fitness for a particular purpose, or non-infringement, to the extent permitted by law.
10. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything else that can't lawfully be limited or excluded. Subject to that, TimeMarkd's total liability arising out of or in connection with these Terms is limited to the amount the Customer paid for the Services in the 12 months before the claim, and we are not liable for indirect or consequential losses, or loss of profits, revenue, or data.
11. Term and termination
These Terms apply for as long as an Organisation has an active subscription or account. Either party may terminate as described in section 4 or if the other party materially breaches these Terms and doesn't fix that breach within a reasonable period after being asked to. We may also suspend or terminate an account immediately for a breach of the acceptable use section, non-payment, or where required by law. On termination, your right to access the Services ends, subject to any data export period described in section 6.
12. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Services or the law. We'll post the updated Terms here with a new "last updated" date, and for material changes we'll give existing subscribers reasonable notice by email before they take effect.
13. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, without prejudice to any mandatory consumer protections that apply in your country of residence.
